Key points

This section points you to the clauses that matter most. The full clauses below are what count.

  • No refunds, except where the law requires one (section 5.5).
  • You get a licence to use Revela. You do not buy the software itself (section 3).
  • A Perpetual Licence covers the major version you bought (for example Revela 1) and every update to that version, on up to two Macs. A Subscription covers every version released while you keep paying (sections 3 and 5).
  • Revela checks your licence online whenever it can, and works offline only for a limited time (at least 7 days; a Trial may need to be online). Without an active Licence, or once the offline time runs out, Revela does not open (sections 4 and 14).
  • Your photos, videos, catalogues and exports belong to you. Revela processes them on your Mac and does not send them to us (section 6).
  • Some parts of Revela come from other companies or are open source. They have their own terms (section 9).
  • If you are a consumer, your legal rights as a consumer are not affected by anything in this EULA (sections 12, 13 and 18).
  • The law of England and Wales applies. Consumers keep the protection of the mandatory law of their own country and may go to their own courts (section 18).

1. Who we are, and accepting this EULA

1.1 This End User Licence Agreement (“EULA”) is a legally binding agreement between you (“you”, “your”, or “user”) and Pearla Mostra, a company registered in England and Wales, with its registered address at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom (“we”, “us”, “our”, or “Pearla Mostra”). You can reach us at support@pearlamostra.com.

1.2 You accept this EULA by clicking “Agree” when Revela asks, or by installing or using Revela. If you do not agree, do not buy, install or use Revela.

1.3 If you accept this EULA for a company or other organisation, you confirm that you are authorised to do so. In that case “you” means that organisation.

1.4 You must be at least 18 years old, or the age of majority where you live if that is higher, or have the consent of a parent or legal guardian who accepts this EULA for you.

2. Words used in this EULA

  • “Revela” means the Pearla Revela application for macOS, also called Revela, whichever name it appears under and wherever you got it, together with its updates, the Bundled Content, and its documentation.
  • “Bundled Content” means the film looks, profiles, colour tables (LUTs), presets, calibration data, machine-learning models and other content that come with Revela.
  • “Your Content” means the photos, videos, audio, catalogues, edits, metadata and other material you bring into or create with Revela, including your exports.
  • “Licence” means a Perpetual Licence, a Subscription or a Trial.
  • “Mac” means an Apple computer that you own or control.
  • “Account” means your Pearla account.
  • “Online Services” means our sign-in, licence and activation services, and any other online features we provide for Revela.
  • “Third-Party Components” means software and content in Revela that we license from others, including open-source software.
  • “Consumer” means a person who uses Revela mainly for purposes outside their trade, business or profession.

3. Your licence

3.1 The grant. As long as you comply with this EULA and have paid any fee due, we grant you a non-exclusive, non-transferable (except as section 3.7 allows), non-sublicensable licence to install and use Revela, in the machine-readable form in which we supply it, on up to two (2) Macs at the same time, or on more if we allow it, for personal or commercial purposes.

3.2 One person. Each Licence is for one person. An organisation may buy a Licence for one named person and may move it to another person, for example when someone leaves, by deactivating the first person’s Macs.

3.3 Perpetual Licence. A Perpetual Licence lets you use, for an unlimited time, the major version of Revela you bought (for example “Revela 1”) and every update to that major version that we release (for example every Revela 1.x update). When we release a later major version (for example “Revela 2”), we decide whether it is included or needs a paid upgrade. Section 4 explains how licence checks work, and section 4.6 explains what happens if we ever stop running them.

3.4 Subscription. A Subscription lets you use the current version of Revela, including new major versions, for as long as your Subscription is active.

3.5 Trial. A Trial lets you use Revela to evaluate it for up to the period shown when you start the Trial. Section 5.3 explains how a Trial ends.

3.6 Backup copies. You may keep copies of the Revela installer for backup and archive purposes.

3.7 Transfer. You may not transfer your Licence, except where mandatory law where you live gives you a right to pass on a Perpetual Licence. In that case you may transfer your whole Perpetual Licence to one other person only if you first deactivate all your Macs, stop using Revela, tell us the email address of the new holder, and the new holder accepts this EULA. Subscriptions and Trials cannot be transferred.

3.8 Everything else is reserved. We and our licensors keep every right that this EULA does not expressly give you.

4. Activation, your account, and licence checks

4.1 Sign-in. To activate Revela you need an Account and an internet connection.

4.2 Licence checks. Revela checks your Licence with our Online Services whenever it is online, for example when you open it. With a Perpetual Licence or a Subscription, Revela keeps working offline for a period we set, which is never less than 7 days from the last successful check. We may allow longer, for example by giving a limited number of extensions when you are offline, and we may change what we allow at any time, but never below 7 days. During a Trial, Revela may need to be online each time you open it, and it never works beyond the end of the Trial. When the offline period runs out, Revela stops working until your Mac is back online and the check succeeds. If your Licence has ended, for example because a Trial or Subscription was cancelled, Revela stops working at the next check.

4.3 Mac limit. You can deactivate a Mac at any time from your account on our website and use your Licence on another one.

4.4 What Revela sends. For activation and licence checks Revela sends us your Account identifier, an identifier for your Mac (one Revela creates and one from your Mac’s hardware), your Mac’s name and model, Revela’s version, and your licence status. It does not send Your Content. Our Privacy Policy at https://pearlamostra.com/legal/privacy-policy explains how we handle this information.

4.5 Your account. Keep your sign-in details to yourself. Tell us straight away at support@pearlamostra.com if you think someone else has used your Account.

4.6 If we stop the licence service. If we permanently stop operating the licence checks for a major version of Revela, and no successor takes them over, then before we stop them we will release an update to that major version which works without licence checks for people who hold a Perpetual Licence for it.

5. Buying, subscriptions, trials and refunds

5.1 Payment. You buy Licences on our website (section 20 covers the App Store). Your purchase is processed by Stripe through Link, Stripe’s consumer brand: Sold through Link, LLC acts as merchant of record, collects any VAT or sales tax, and issues your receipt, and your card statement shows Link. Link’s terms at https://link.com/terms apply to the payment. This EULA governs your Licence. Prices are plus any VAT or sales tax that applies, shown at checkout.

5.2 Renewal and cancelling. A Subscription renews automatically at the end of each billing period, at the price in force at that time, until you cancel it. You can cancel at any time from your account on our website, or through Link using the link in your receipt. When you cancel, your Subscription stays active until the end of the period you have paid for and does not renew. We do not refund part-periods, except where section 5.5 or the law says otherwise.

5.3 Trials. A Trial needs a payment method. When the Trial ends, it becomes a paid Subscription and you are charged, unless you cancel before the Trial ends. If you cancel during the Trial, the Trial ends at once. Each person may have one Trial. We may refuse a Trial if we reasonably believe the person, or the payment card, has already had one.

5.4 Price changes. We will tell you about any change to the price of your Subscription at least 30 days before it applies to you. It applies from your next renewal after that notice. If you do not want to pay the new price, cancel before that renewal.

5.5 No refunds. We do not give refunds, except where the law requires one. For example, the law may require a refund when Revela is faulty and cannot be put right, or when you cancel within a period the law gives you (see section 5.6). Link, as merchant of record, may also give a refund under its own refund policy. We may also choose to give a refund in other cases, at our discretion.

5.6 Right to cancel (UK, EU and EEA consumers). If you are a consumer in the United Kingdom, the European Union or the European Economic Area, you have a right to cancel your purchase within 14 days. That right ends once Revela is activated if, at checkout, you expressly asked for immediate access and confirmed that you knew you would lose the right to cancel. Where the law gives you a further right to cancel, for example after a Trial becomes a paid Subscription or after a Subscription renews, you have that right too.

6. Your Content

6.1 It is yours. We claim no rights in Your Content.

6.2 It stays with you. Revela processes Your Content on your Mac. Revela does not send Your Content to us. If you use Revela’s sync features, Revela copies Your Content to storage you choose (for example your own drives or your iCloud Drive), and that storage provider’s terms apply. If we ever offer an online service that stores Your Content, it will be optional and covered by separate terms.

6.3 Your exports. You may use the images, videos and other files you export from Revela for any lawful purpose, including commercial work, without crediting us.

6.4 No exporting looks. You may not export, or try to export, any colour table (LUT) or other file that reproduces, in whole or in part, a look from the Bundled Content (such as a film look), whether through Revela’s export features or by any other means. If you end up with such a file anyway, for example because of a fault in Revela, you may not use, share, sell or keep it, and you must delete it. Images and videos you make with those looks inside Revela are not affected.

6.5 Your responsibilities. You are responsible for having the rights you need in Your Content, and for keeping your own backups of it.

7. Bundled Content and automated features

7.1 Bundled Content. You may use Bundled Content only inside Revela. You may not extract, decrypt, copy, separate or redistribute it, or recreate it, for example by running test images such as identity or “Hald CLUT” images through Revela so as to rebuild a look. Section 6.4 covers exporting looks.

7.2 Automated features. Features such as search, subject detection and masking use machine-learning models that run on your Mac. Their results can be wrong. Check them before you rely on them.

8. What you may not do

Except where this EULA expressly allows it, you may not, and may not help or allow anyone else to:

(a) copy Revela, other than as sections 3.1 and 3.6 allow;

(b) distribute, sell, sublicense, rent, lend or lease Revela, or make it available to others over a network or as a service;

(c) reverse engineer, decompile or disassemble Revela or any part of it, or otherwise try to discover its source code, its structure, or the file formats or protocols it uses, except to the extent that the law expressly allows this despite this restriction (for example sections 50A to 50C of the UK Copyright, Designs and Patents Act 1988, which cover backup copies, decompiling for interoperability, and observing and testing a program), and then only to that extent;

(d) modify, translate or adapt Revela, or create works derived from it;

(e) remove or change any copyright, trademark or other notice in Revela;

(f) get around or interfere with activation, licence checks, the Mac limit, encryption or any other protection in Revela;

(g) use any part of Revela, including any Third-Party Component, separately from Revela; or

(h) use Revela in breach of any law.

9. Third-party software

9.1 Acknowledgements. Revela includes Third-Party Components. Revela’s Acknowledgements (in the About window) list them and their notices.

9.2 Open source. Open-source components are licensed to you under their own licences. Nothing in this EULA limits any right those licences give you. Where an open-source licence entitles you to the source code of a component, you can get it by emailing support@pearlamostra.com.

9.3 Our suppliers. Our suppliers and licensors keep all right, title and interest in their components. They make no warranty, condition, representation or term of any kind to you about their components, whether express or implied, by statute, common law, custom, usage or otherwise, including about non-infringement, integration, merchantability, satisfactory quality or fitness for a particular purpose. To the extent the law allows, our suppliers and licensors are not liable to you for any damages, claims or costs of any kind arising from this EULA or from your use of Revela, including consequential, indirect or incidental damages, lost profits, lost savings, or any claim by a third party. This section does not reduce what we owe you under sections 12 and 13.

9.4 Other camera-maker software. If you need any other software or firmware from RED Digital Cinema, or from any other camera maker, in order to use Revela, you must get it under a valid licence from its maker and use it in line with the end user licence agreement that comes with it.

9.5 Names. Camera, format and product names that appear in Revela belong to their owners. Their use does not mean that those owners certify, endorse or guarantee Revela.

10. Who owns Revela

Revela, including its structure, organisation and code, is owned by Pearla Mostra and its licensors and is protected by copyright and other laws and by international treaties. Revela is licensed to you, not sold. Pearla Mostra and its suppliers keep all right, title and interest in Revela. If you send us ideas or feedback, we may use them freely without owing you anything.

11. Updates and changes to Revela and the Online Services

11.1 Updates. We may offer or install updates. Some updates may be needed to keep using the Online Services.

11.2 Consumers. If you are a consumer, we will provide the updates, including security updates, that the law where you live requires, for as long as it requires them.

11.3 Changes. We may change Revela or the Online Services for a valid reason, for example to fix problems, to improve security, to comply with the law, or because a third party stops licensing us a component (such as a decoder for a camera format). Changes cost you nothing. If a change removes a feature or otherwise harms your use of Revela more than slightly, we will tell you in advance. If you hold a Subscription, you may then end it and we will refund the unused part of any period you have paid for. Consumers keep any further rights the law gives them.

12. Warranty

12.1 Consumers. If you are a consumer, you have legal rights about the quality of Revela and about what happens if it is faulty, for example under the UK Consumer Rights Act 2015. Nothing in this EULA limits those rights.

12.2 Everyone else. Apart from section 12.1, and to the extent the law allows, Revela is provided “as is”. We do not promise that Revela will be free of errors, will run without interruption, will open every file from every camera, or will meet your particular needs. This section does not exclude our responsibility for fraud or fraudulent misrepresentation.

13. Liability

13.1 No limit. Nothing in this EULA limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for harm we cause deliberately, under mandatory product liability law, or in any other case where the law does not allow liability to be limited.

13.2 Otherwise. In all other cases, and to the extent the law allows:

(a) we are not liable for indirect or consequential loss, lost profits, lost business, or business interruption;

(b) for loss of data, we are liable only for the cost of restoring it from backups you have kept in line with section 6.5; and

(c) our total liability arising from this EULA is limited to the greater of the amount you paid us for Revela in the 12 months before the event that caused the liability, and £100.

13.3 Consumers. If you are a consumer, section 13.2 applies only as far as the law of your country of habitual residence allows.

14. How this EULA ends

14.1 Duration. This EULA lasts for as long as you hold a Licence: for a Perpetual Licence, until it ends under this section; for a Subscription, until the end of the last period you have paid for; for a Trial, until the Trial ends or becomes a Subscription.

14.2 You. You may stop using Revela at any time.

14.3 Us. We may end your Licence if you seriously breach this EULA and do not put the breach right within 14 days of our notice. We may end it straight away, without notice, if the breach cannot be put right, for example if you redistribute Revela, export or distribute files in breach of section 6.4, or get around its licence checks.

14.4 When it ends. You must stop using Revela and delete it. Your Content stays yours. Your original files remain on your storage in the formats in which you imported them, and you can use them without Revela. Revela does not open without an active Licence, so your catalogues, edits and other work held in Revela are not available until you have one again; they are not deleted.

14.5 What continues. Sections 6, 7.1, 8, 9.3, 10, 13, 14.4, 14.5, 15, 18, 19 and 20 continue after this EULA ends.

15. Export controls and sanctions

15.1 Revela includes software of United States origin and may be subject to the export control and sanctions laws of the United Kingdom, the European Union, Switzerland, the United States (including the U.S. Export Administration Regulations), and other countries. You must comply with them.

15.2 You confirm that you are not located in, or ordinarily resident in, a country or region subject to comprehensive sanctions under those laws, and that you are not named on any list of persons with whom those laws prohibit dealing. You must not export, re-export or provide Revela to any such country, region or person, or for any use those laws prohibit.

15.3 This EULA does not license Revela for acquisition by the United States Government or any of its contractors as such. Contact us first if you wish to acquire Revela on that basis.

16. Your personal data

Our Privacy Policy at https://pearlamostra.com/legal/privacy-policy explains how we handle personal data, in line with the UK General Data Protection Regulation and the Data Protection Act 2018 and, where they apply, the EU General Data Protection Regulation and the Swiss Federal Act on Data Protection.

17. Changes to this EULA

17.1 We may change this EULA for future purchases. For an active Subscription, a change applies from your next renewal after at least 30 days’ notice. If you do not accept it, cancel before that renewal.

17.2 A change will never take away rights you have already paid for under a Perpetual Licence.

17.3 If the law or one of our licensors requires a change, we may make it sooner, and we will tell you. If such a change puts you at a real disadvantage, you may end your Subscription and we will refund the unused part of any period you have paid for.

18. Which law applies, and where disputes go

18.1 Law. This EULA, and any dispute or claim arising from it (including non-contractual ones), is governed by the law of England and Wales.

18.2 Consumers’ law. If you are a consumer, you keep the protection of the mandatory provisions of the law of the country where you habitually live, and this choice of law does not take it away.

18.3 Courts. The courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may also bring proceedings in the courts where you live (in the UK, that includes the courts of Scotland or Northern Ireland), and we may bring proceedings against you only in the courts where you live.

19. General

19.1 Entire agreement. This EULA, together with the terms shown at checkout, is the whole agreement between you and us about Revela.

19.2 If a clause is invalid. If any part of this EULA is invalid or unenforceable, the rest stays in force. For businesses, the invalid part is replaced by a valid one that comes as close as possible to its purpose. For consumers, the law applies in place of the invalid part.

19.3 No waiver. If we do not enforce a right straight away, we can still enforce it later.

19.4 Transfer by us. We may transfer this EULA to a company that takes over Revela. We will tell you, and your rights under this EULA will not be reduced.

19.5 Third parties. Our suppliers and licensors may enforce section 9.3, and Apple may enforce section 20, under the Contracts (Rights of Third Parties) Act 1999. Otherwise, no one other than you and us has any right to enforce this EULA.

19.6 Notices. We may send you notices by email to the address on your Account or inside Revela. You may send notices to support@pearlamostra.com.

19.7 Language. If this EULA is translated, the English version prevails, except where the law of a consumer’s country requires otherwise.

20. If you got Revela from Apple’s App Store

This section applies only if you got Revela from Apple’s App Store. If it conflicts with another part of this EULA, this section prevails for that copy of Revela.

20.1 Parties. This EULA is between you and Pearla Mostra only, not Apple. Pearla Mostra, not Apple, is solely responsible for Revela and its content.

20.2 Your licence. Your licence is a non-transferable licence to use Revela on Apple-branded products that you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions, except that Revela may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.

20.3 Payment and refunds. Purchases made in the App Store are made under Apple’s terms, and Apple handles refunds for them. Sections 5.1 to 5.5 do not apply to those purchases.

20.4 Maintenance and support. Pearla Mostra alone is responsible for any maintenance and support for Revela. Apple has no obligation to provide any.

20.5 Warranty. If Revela fails to conform to any warranty that applies, you may notify Apple, and Apple will refund the purchase price you paid for it, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for Revela. Any other claim, loss, liability, damage, cost or expense caused by a failure to conform to a warranty is Pearla Mostra’s responsibility, to the extent this EULA does not limit it.

20.6 Product claims. Pearla Mostra, not Apple, is responsible for dealing with any claim by you or a third party about Revela or your possession or use of it, including product liability claims, claims that Revela fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.

20.7 Intellectual property claims. If a third party claims that Revela, or your possession and use of it, infringes its intellectual property rights, Pearla Mostra, not Apple, is solely responsible for investigating, defending, settling and discharging that claim.

20.8 Legal compliance. You confirm that you are not located in a country that is subject to a United States Government embargo or that the United States Government has designated as “terrorist supporting”, and that you are not listed on any United States Government list of prohibited or restricted parties. Section 15 also applies.

20.9 Contact. Questions, complaints or claims about Revela go to Pearla Mostra, 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom, support@pearlamostra.com.

20.10 Other terms. When you use Revela, you must comply with any third-party terms that apply, such as your internet service agreement.

20.11 Apple as third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of this EULA. Once you accept it, Apple has the right, and is treated as having accepted the right, to enforce this EULA against you as a third-party beneficiary.

Your standards. Untethered.
